Terms of Service

Effective November 1, 2026

The rules for using the Dataseam website, forms and portals. They sit alongside any engagement, license or referral terms you sign with us, which govern those relationships.

01Agreement to these terms

These Terms of Service (“Terms”) govern your use of the Dataseam website, forms and portals for clients, partners and staff (together, the “Service”), operated by Dataseam (“Dataseam,” “we,” “us”). By submitting a form, applying to the partner program, or signing in, you agree to these Terms and to our Privacy Policy.

If you use the Service on behalf of a company, you confirm that you are authorized to accept these Terms for it, and “you” includes that company.

Some relationships are also covered by a separate signed agreement, such as a client engagement, a data license or partner referral terms. If a signed agreement conflicts with these Terms, the signed agreement controls for that relationship.

02What the Service is

Dataseam helps businesses explore licensing approved, anonymized portions of their operating records, datasets or environments to qualified buyers. The Service lets you tell us about a business, follow a deal, review offers released to you, register partner introductions and track referral fees.

Please keep in mind:

  • A fit read is not an offer. Results from the qualifier, illustrative ranges and early assessments are general information, not a valuation, quote or promise of a buyer, price or closing.
  • We do not give professional advice. Nothing in the Service is legal, tax, accounting, privacy or investment advice. Get your own advice before you sign anything.
  • Payments are recorded, not processed. The Service tracks deal payments and fees. It does not charge cards or move funds.

03Accounts and security

Portal accounts are issued by Dataseam. You must be at least 18 and use the Service for business purposes. Keep your password confidential, don't share your account and tell us promptly at privacy@dataseam.ai if you think someone else has accessed it. You are responsible for activity under your account.

Dataseam staff may view a portal as you see it to provide support. Changes made this way are saved to your account.

04Information and material you submit

You keep ownership of the information and files you submit, including intake answers, descriptions and samples. You give Dataseam permission to store, review and use them to operate the Service, assess fit, contact you and carry out work you ask us to do. We do not license, sell or disclose your records to a buyer unless you approve it under a separate written agreement.

When you submit information or upload a sample, you confirm that:

  • it is accurate to the best of your knowledge, and estimates are marked as estimates;
  • you have the right to share it with Dataseam for these purposes;
  • you have left out passwords, credentials and personal information about other people unless we have agreed otherwise in writing; and
  • sharing it does not breach a confidentiality obligation, contract or law that applies to you.

We may decline, remove or quarantine material that appears to break these rules.

05Partner program

Applying to the partner program does not make you a partner. We review every application and may accept or decline at our discretion. Once approved, your fee share, payment timing and eligibility are set by your partner referral terms and the Service records.

  • Referral credit is established by registering an introduction in the portal and receiving Dataseam's written acceptance, or by a referral link as described in the Privacy Policy. Credit follows the attribution rules in your referral terms.
  • Only introduce people who have agreed to be introduced, and tell them you may receive a referral fee.
  • Do not make promises about price, timing or results, collect funds, negotiate on Dataseam's behalf or claim authority to bind Dataseam.
  • Do not promote referral links with spam, misleading claims or in ways that break advertising, privacy or anti-spam laws.
  • Partners are independent. Nothing in the program creates an employment, agency, joint venture or partnership relationship.

We may deactivate referral links or suspend a partner account that breaks these Terms or the referral terms.

06Acceptable use

You agree not to:

  • use the Service for anything unlawful, fraudulent or deceptive;
  • access accounts, deals or data that are not yours, or try to get around access controls;
  • probe, scan or test the Service's security, or interfere with its operation;
  • scrape, copy or reverse engineer the Service, or use automated means to submit forms;
  • upload malware or material you have no right to share; or
  • impersonate anyone or misrepresent your relationship to a business.

07Confidentiality

Offers, bid terms, buyer details, presentations, guides and other non-public information shown in the portal are confidential. Use them only for the deal or program they relate to, and don't share them except with your own advisers who are bound to keep them confidential, or as a signed agreement allows.

08Our content

The Service, including its design, software, text, graphics, guides and downloadable documents, belongs to Dataseam or its licensors. While you have access, you may use them only to take part in the program they were provided for. The Dataseam name and logo may not be used without our permission, except as your referral terms allow.

09Fees

There is no charge to use the Service. Client success fees and partner referral fees are set only by the applicable signed engagement or referral terms.

10Third-party services

The Service relies on third-party providers for hosting, databases, authentication, file storage and email, and may link to other websites. We are not responsible for third-party sites or services we do not control.

11Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent the law allows, Dataseam disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not promise that the Service will be uninterrupted or error-free, or that any buyer, offer, price, closing or fee will result from using it.

12Limitation of liability

To the fullest extent the law allows, Dataseam will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising from or related to the Service.

Dataseam's total liability for any claim arising from or related to the Service is limited to one hundred US dollars (US$100). These limits do not apply to liability that cannot be limited by law, and they do not change the liability terms of a separate signed agreement.

13Indemnity

You will defend and indemnify Dataseam against third-party claims, losses and reasonable costs arising from material you submit without the right to do so, your breach of these Terms, or your misuse of the Service.

14Suspension and termination

You may stop using the Service at any time. We may suspend or end access to the Service, an account or a referral link if these Terms are broken, to protect the Service or other users, or if a program ends. Sections that by their nature should survive, including confidentiality, ownership, disclaimers, limits of liability and indemnity, survive termination. Signed agreements end only under their own terms.

15Changes to these terms

We may update these Terms. When we do, we will change the effective date above, and for material changes we will give notice in the portal or by email. Continuing to use the Service after changes take effect means you accept them.

16Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Service will be brought only in the state or federal courts located in Delaware, and each party consents to their jurisdiction.

17General

These Terms, together with the Privacy Policy and any signed agreement, are the entire agreement about the Service. If any part is found unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
